What counts as insider buying?
An insider is an officer, a director, or an owner of more than 10% of a company. Insider buying here means one of them bought the company’s shares on the open market and reported it to the SEC on Form 4 with transaction code P. Shares paid as salary, option exercises and gifts use other codes and are not shown. Sales are not stored at all.
How quickly do insiders have to report a purchase?
Within two business days of the trade. Most filings arrive on time and some do not. Each row on this page shows the gap between the trade date and the filing date, so a late report is easy to see.
Is insider buying legal?
Yes. Insiders may buy shares in their own company as long as they do not trade on important information the public does not have yet, and they must report the trade. The filings listed here are those public reports. They show what was bought and when, not why.
Why is a purchase shown once when several owners filed it?
One purchase is often reported by more than one owner, for example a fund and the person who controls it. Counting each report would double the purchase, so it is shown once and the other filers are named on the row.
